Terms of Service

1. Service Description

CoverReady ("the Service") is a cybersecurity compliance and documentation platform designed to help small and mid-sized businesses prepare for cyber insurance applications and renewals. The Service includes:

• Insurance readiness assessment and scoring
• AI-powered security policy document generation
• Evidence vault for storing and organizing compliance documentation
• Insurance questionnaire preparation tools
• Compliance calendar and renewal tracking
• Employee security awareness training modules (Professional + Training plan)

The Service is provided "as is" and is intended as a productivity and documentation tool. Policy documents, readiness scores, and recommendations generated by the platform are starting points — not finished products. You are responsible for reviewing, customizing, and validating all outputs for accuracy and applicability to your specific situation.

2. Account Responsibilities

By creating an account, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old and have the authority to bind your organization to these terms. If you are using the Service on behalf of an organization, you represent that you have the authority to do so.

3. Subscription and Billing

Free Trial

New accounts include a 14-day free trial with full access to your selected plan's features. No credit card is required to start a trial. At the end of the trial period, your subscription will begin and you will be charged the applicable rate unless you cancel before the trial ends.

Billing

Subscriptions are billed either monthly or annually, depending on the billing period you select. Monthly subscriptions are billed on the same date each month. Annual subscriptions are billed once per year on the anniversary of your subscription start date.

All prices are listed in US dollars. We reserve the right to change pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle.

Cancellation

You may cancel your subscription at any time from your account settings or by contacting support@coverready.com. Upon cancellation:

• You will retain access to the Service through the end of your current billing period
• No further charges will be made after the current period ends
• We do not provide prorated refunds for partial billing periods

Refunds

If you are unsatisfied with the Service within the first 30 days of your paid subscription (after the free trial), you may request a full refund by contacting support. Refund requests after 30 days are evaluated on a case-by-case basis.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other users' accounts or our systems
• Use the platform to generate fraudulent insurance documents or misrepresent your security posture
• Resell, redistribute, or sublicense access to the Service without our written consent
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice depending on the severity of the violation.

6. Limitation of Liability

To the maximum extent permitted by applicable law, CoverReady and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

7. Data Ownership

You own your data. All business information, uploaded documents, generated policies, and compliance records you create through the Service remain your property. We do not claim ownership of any content you create or upload.

You grant us a limited license to store, process, and display your data solely for the purpose of providing the Service. This license terminates when you delete your data or close your account.

We do not sell, share, or monetize your business data. We do not use your uploaded documents or generated policies to train AI models or for any purpose other than providing the Service to you.

8. Intellectual Property

The CoverReady platform, including its design, code, branding, and proprietary content (such as blog posts, training materials, and template structures), is owned by CoverReady and protected by intellectual property laws.

Policy documents and compliance content generated for you through the Service are licensed to you for your business use. You may use, modify, and distribute these documents within your organization and to insurers, auditors, and business partners as needed.

9. Termination

Either party may terminate this agreement at any time:

• You may cancel your subscription and close your account at any time
• We may suspend or terminate your account for violation of these terms, with notice when practicable

Upon termination, you may request an export of your data within 90 days. After 90 days, we may delete your data in accordance with our Privacy Policy. We will not delete your data without providing reasonable notice and an opportunity to export.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

11. Changes to These Terms

We reserve the right to update these Terms of Service at any time. We will notify you of material changes by posting the updated terms on our website and, for significant changes, by email. Your continued use of the Service after changes are posted constitutes acceptance of the revised terms.
